Netly Pay Terms of Use
Effective date: 16 October 2026
Last updated: 16 October 2026
These Terms of Use ("Terms") are an agreement between you and Zegates International Private Limited ("Zegates", "we", "us"), a company registered in Sri Lanka, for your use of the Netly Pay mobile app, the Netly Pay website at netly.netlise.com, and related services (together, "Netly Pay").
By creating an account or using Netly Pay you agree to these Terms and to our Privacy Policy. If you do not agree, do not use Netly Pay.
1. What Netly Pay is
Netly Pay is software that helps businesses manage members, payment requests, attendance and records, and helps their customers see what is due, pay and keep track of their memberships.
- A Business is an organisation, or an individual such as a tutor, that uses Netly Pay to serve its customers. Its owner and staff use Business mode.
- A Customer is a member, student, parent or guardian, tenant or patient of a Business. Customers use Personal mode.
- A Workspace is a Business's account in Netly Pay.
Netly Pay is not a bank, money transmitter or party to the transactions between Businesses and Customers. The services a Business provides, and the fees it charges, are agreed between the Business and its Customers. Netly Pay records payment requests and payments and, where card payments are available, connects to a licensed payment provider to process them.
2. Eligibility and accounts
- You must be at least 18 years old, or the age of majority where you live, to create an account.
- Parents and guardians may manage a child's memberships and payments from their own account. Children do not create accounts.
- You must give accurate information and keep it up to date.
- You are responsible for activity on your account. Keep access to your email and sign-in methods secure, and tell us at support@netlise.com if you suspect unauthorised use.
- If you create a Workspace for an organisation, you confirm that you are authorised to act for it, and the organisation is bound by these Terms.
3. Using Netly Pay as a Customer
- Payment requests are issued by the Business, not by us. Questions about an amount, a service, a discount or a refund should go to the Business.
- When you upload a bank slip, report a payment or pay by any method, the payment is to the Business. A payment you report is shown as paid only after the Business approves it. The Business may approve a lower amount or reject it, and will tell you why.
- You must only upload genuine payment proof and only report payments you have actually made.
- Records a Business keeps about you belong to that Business and are handled as described in our Privacy Policy.
4. Using Netly Pay as a Business
- Your customers. You are responsible for your relationship with your Customers, the services you provide, the amounts you request, your refund and cancellation policy, and any receipts, tax or regulatory obligations that apply to your business.
- Your data. You are the controller of the personal data you enter about your Customers. You confirm that you have a lawful basis to collect and use it, that you have obtained any consent needed (including from parents or guardians for children), and that you will keep it accurate. You instruct us to process this data to provide Netly Pay to you.
- Sensitive information. Do not record diagnoses, medical records, national identity numbers, card numbers or bank account numbers of your Customers in Netly Pay, except in fields that are designed and enabled for that purpose, such as the optional medical note with the person's consent.
- Payment details you publish. You are responsible for the bank account and QR details you show your Customers being correct and belonging to your business.
- Confirming payments. You are responsible for checking payment slips and reported payments before you approve them. Once approved, a payment is recorded as received and a receipt is issued.
- Staff. You decide who in your organisation has access and with what role, and you are responsible for their actions in your Workspace.
- Prohibited businesses. You may not use Netly Pay for illegal goods or services, gambling, money lending, pyramid or chit schemes, collecting donations under false pretences, or any business that a payment provider or the law does not allow.
5. Card payments
Card payments are not available in every Workspace. Where they are available:
- Card payments are processed by Netlise IPG and its acquiring bank. A Business that accepts card payments must complete their onboarding and accept their separate merchant terms.
- Card details are entered on the payment provider's secure page. Netly Pay does not receive or store full card numbers.
- Refunds and chargebacks follow the payment provider's rules and the Business's own refund policy.
- Payouts to a Business are made by the payment provider to the Business's bank account, on the schedule in its merchant terms.
6. Fees
- During the launch period, Netly Pay is free for Businesses and Customers. There is no subscription fee.
- Where card payments are processed through our payment partner, a transaction fee applies to the Business. The fee is shown before the Business enables card payments.
- We may introduce paid plans, limits or new fees in the future. We will give Businesses at least 30 days' notice in the app or by email before any new fee applies to them, and show the price before anything is charged. If you do not agree, you may stop using Netly Pay before the change takes effect.
- Customers are not charged by Netly Pay. A Business may set its own fees, including late fees, which are a matter between the Business and its Customers.
- Payments from Customers to Businesses are for services the Business provides outside the app, such as classes, memberships, rent or appointments.
7. Acceptable use
You agree not to:
- break any law, or infringe anyone's rights, including privacy and intellectual property;
- upload false, forged or altered payment proof, or report payments you have not made;
- harass, threaten or send unwanted messages to anyone through Netly Pay;
- upload malicious code, or try to access data, accounts or Workspaces you are not authorised to access;
- probe, scan or test the security of Netly Pay, or interfere with its operation;
- copy, resell, reverse engineer or build a competing product from Netly Pay, except where the law allows;
- use automated means to access Netly Pay, other than features we provide for that purpose.
8. Your content
You keep ownership of the content you add to Netly Pay, such as logos, photos, records and messages. You give us a non-exclusive, worldwide, royalty-free licence to host, store, copy, process and display that content only as needed to provide and improve Netly Pay for you and the people you share it with. This licence ends when the content is deleted, except for copies kept in backups for a limited time or where we must keep them by law.
9. Our intellectual property
Netly Pay, Netlise, the software, design and trademarks are owned by Zegates or its licensors. We give you a limited, non-exclusive, non-transferable, revocable licence to use the Netly Pay app on devices you own or control, for the purposes in these Terms.
10. Availability and changes
We work to keep Netly Pay available and secure, but it is provided as a service that may change. We may add, change or remove features, and the service may be unavailable during maintenance or for reasons beyond our control. We will give reasonable notice of changes that significantly reduce what a Business can do.
11. Suspension and termination
- You can stop using Netly Pay and delete your account at any time in the app under Profile → Sign-in & security → Delete account. If you own a Workspace, deleting your account also deletes that Workspace and its records.
- We may suspend or close an account or Workspace if you breach these Terms, if required by law or a payment provider, or to protect users or the service. Where possible we will tell you first and give you a chance to fix the issue.
- When we close a Workspace, we will give the Business a chance to download its records first where the law and circumstances allow. Records are then deleted as described in our Privacy Policy, except where we must keep them by law.
12. Disclaimers
Netly Pay is provided "as is" and "as available". To the extent allowed by law, we do not give warranties that Netly Pay will be uninterrupted or error-free, or that it will meet every need. Netly Pay is a record-keeping and communication tool; it is not accounting, tax or legal advice, and Businesses remain responsible for their own books and obligations.
13. Limitation of liability
- To the extent allowed by law, Zegates is not liable for indirect, incidental, special or consequential loss, or for loss of profits, revenue, data or goodwill.
- We are not liable for the acts or omissions of Businesses, Customers or payment providers, including disputes about services, amounts, payments or refunds between a Business and its Customers.
- Our total liability to you for all claims relating to Netly Pay is limited to the greater of the fees you paid to us for Netly Pay in the 12 months before the claim, or LKR 10,000.
- Nothing in these Terms limits liability that cannot be limited by law.
14. Indemnity
If you use Netly Pay as a Business, you will compensate Zegates for claims, losses and costs arising from your services to your Customers, the data you enter, or your breach of these Terms or the law.
15. App store terms
Apple. If you downloaded the app from the Apple App Store:
- These Terms are between you and Zegates, not Apple. Apple is not responsible for the app or its content.
- Your licence to use the app is limited to Apple-branded devices you own or control, as permitted by the App Store Terms of Service.
- Apple has no obligation to provide maintenance or support for the app.
- If the app fails to meet any applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any. To the extent allowed by law, Apple has no other warranty obligation for the app.
- Apple is not responsible for claims relating to the app, including product liability claims, claims that the app fails to meet legal or regulatory requirements, and consumer protection or privacy claims.
- Apple is not responsible for investigating, defending or settling any claim that the app infringes a third party's intellectual property rights.
- You confirm that you are not located in a country subject to a U.S. Government embargo or listed as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
Google. If you downloaded the app from Google Play, your use is also subject to the Google Play Terms of Service. Google is not responsible for the app or these Terms.
16. Governing law and disputes
These Terms are governed by the laws of Sri Lanka. We encourage you to contact us first so we can try to resolve any issue. Disputes that cannot be resolved will be subject to the exclusive jurisdiction of the courts of Colombo, Sri Lanka, unless the law of your country gives you the right to bring proceedings in your local courts.
17. Changes to these Terms
We may update these Terms. We will post the new version on this page with a new "Last updated" date and, for significant changes, notify you in the app or by email at least 30 days before they take effect. If you keep using Netly Pay after that date, you accept the updated Terms.
18. General
If any part of these Terms is found unenforceable, the rest remains in effect. If we do not enforce a right, we do not waive it. You may not transfer your rights under these Terms without our consent; we may transfer ours as part of a merger, acquisition or sale of assets. These Terms and the Privacy Policy are the whole agreement between you and us about Netly Pay.
